These Terms of Service ("Terms") constitute a legally binding agreement between AI Trace, a brand owned and operated by [Company legal name] (a company incorporated under the Companies Act, 2013, with its registered office at [Registered office address], India) ("Company", "we", "us") and the entity or individual accessing or using the Platform ("Customer", "you").
By accessing the Platform, signing in, or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
3.1 The Company provides real-time, web-based and API-driven verification and lookup capabilities via the Platform, including:
3.2 Verification outputs are retrieved from authoritative government databases and third-party sources. The Company does not warrant absolute accuracy, as results depend on the quality and currency of those sources.
3.3 The Company may modify, update, or enhance Platform features with reasonable prior notice, provided core functionality is not materially degraded.
4.1 The Customer shall:
4.2 The Customer is responsible for all activities conducted under its account and by its Authorized Users.
5.1 Permitted Uses. The Platform may be used only to verify or authenticate the Customer's own end-customers/prospects in the ordinary course of the Customer's legitimate business, to access the resulting reports for internal compliance, and to integrate the APIs strictly as documented.
5.2 Prohibited — General. The Customer and its Authorized Users shall not: use the Platform for any purpose beyond §5.1; access or use it on behalf of a third party, or resell/sublicense/white-label it without the Company's prior written consent; share credentials with unauthorised parties; or process Personal Data for any purpose beyond what has been disclosed to and consented by the relevant data principal.
5.3 Prohibited — Technical & Security. No reverse-engineering, vulnerability scanning without authorisation, malware, circumvention of security or rate limits, denial-of-service, or unauthorised scraping/automation beyond documented API usage.
5.4 Prohibited — Legal & Regulatory. The Platform shall not be used to facilitate money laundering, terrorist financing, identity fraud, unauthorised surveillance/profiling, or any offence under PMLA 2002, the IPC, or the IT Act 2000; nor to submit forged/tampered documents or misrepresent verification outputs.
5.5 Responsible Use of Outputs. The Customer shall not use a verification output as the sole basis for decisions that significantly affect an individual's rights (e.g. loan rejection, account closure) without applying its own independent judgment and risk controls, and shall not disclose raw outputs or API responses to any unauthorised third party.
5.6 Enforcement. On detecting a Prohibited Use, the Company may warn, suspend or throttle access, disable credentials, terminate for cause under §13, and report the matter to the relevant authorities where required by law.
6.1 The Customer is the Data Fiduciary and the Company acts solely as a Data Processor for Personal Data submitted to the Platform, processing it only on the Customer's documented instructions.
6.2 The Company broadly commits to: implementing appropriate technical and organisational security measures; not disclosing Personal Data except as directed by the Customer or required by law; notifying the Customer promptly of any Personal Data breach; deleting or returning Personal Data on termination or instruction; and assisting the Customer in responding to data-principal rights requests under the DPDP Act 2023.
6.3 The Customer is solely responsible for the lawfulness of the processing purpose and for maintaining valid consent or another lawful basis before submitting data, and for keeping consent records available to the Data Protection Board of India upon request.
The Company maintains compliance with applicable Indian laws relevant to the Services, including the Digital Personal Data Protection Act, 2023 (and DPDP Rules), the RBI Master Direction on KYC, the Prevention of Money Laundering Act, 2002, and the Information Technology Act, 2000.
8.1 All rights in the Platform, its technology, algorithms, APIs, software, trademarks, and documentation vest exclusively with the Company. 8.2 The Customer retains ownership of all data it submits ("Customer Data"); the Company claims no IP rights over it and receives only a limited licence to use it as necessary to provide the Services.
Each party shall hold the other's Confidential Information in strict confidence and not disclose it without prior written consent, except as required by law. These obligations survive termination for three (3) years.
The Company maintains industry-standard measures including encryption in transit and at rest, role-based access controls, and security monitoring. The Customer is responsible for securing its own systems, credentials, and Authorized User access.
The Company targets availability and response-time service levels as separately agreed. Planned maintenance will be communicated with reasonable notice where practicable.
The Customer shall pay the applicable fees as separately agreed; fees are exclusive of taxes (e.g. GST). The Company may suspend access for non-payment after reasonable written notice. Fees paid are non-refundable except as expressly agreed.
13.1 These Terms apply for as long as the Customer uses the Platform. 13.2 Either party may terminate for convenience on reasonable written notice. 13.3 Either party may terminate immediately for an uncured material breach, a Prohibited Use posing an immediate security/regulatory risk, insolvency, or fraud/wilful misconduct. 13.4 On termination, access ceases, the Company returns or securely deletes Customer Data, outstanding payments survive, and §§8, 9, 14 and 17 survive.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages. The Company's total aggregate liability shall not exceed the fees paid by the Customer in the three (3) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.
The Services are delivered with reasonable skill and care. The Company does not warrant that the Platform will be error-free or uninterrupted, and does not guarantee the accuracy of third-party data sources (government databases, credit bureaus) accessed via the Platform.
The Customer shall indemnify the Company against claims, losses, or regulatory actions arising from the Customer's use of the Platform in violation of these Terms, its failure to obtain lawful consent, its own regulatory non-compliance, or unauthorised use of its credentials.
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation, and failing that, by binding arbitration under the Arbitration and Conciliation Act, 1996, seated at [Jurisdiction], before a sole arbitrator. The courts of [Jurisdiction] shall have exclusive jurisdiction.
These Terms, with any separately agreed order form, data-processing agreement, and privacy policy, constitute the entire agreement. The Company may update these Terms with reasonable notice; continued use after the effective date constitutes acceptance. If any provision is invalid, the remainder continues in force. Neither party is liable for delays caused by events beyond its reasonable control.
